This Planoly Ambassador Program Agreement ("Agreement") is made and entered into for today between Planogram, LLC "Planoly" (referred to as "Company" and provided ambassador (referred to as the "Ambassador". Collectively, the Company and the Ambassador are referred to as the "Parties." This Agreement begins once the Agreement is signed and continues for the next 6 months as outlined herein.

 The Ambassador shall collaborate with Planoly’s Creator Store to create a mutually beneficial relationship that enhances Planoly's visibility, reach, and reputation within its target audience. The Ambassador shall utilize their influence, creativity, and personal brand to authentically endorse and advocate for the Planoly’s offerings through various marketing channels, including but not limited to social media platforms, content creation, events, and public appearances.

Content Requirements

The Ambassador will:

• Create at least two (2) pieces of content posted on your primary social channel per month for the duration of this ambassador promoting Planoly. Must include a call to action driving followers to use your unique Planoly promo code OR your referral link on your Planoly page.
• Ensure your content caption includes the following hashtags: #planoly #planolyambassador on each post.
• You must use a Planoly link in bio across all social platforms with a call to action in your bio description driving followers to your link.
• Content should include the benefits of Planoly + personal experience with Planoly.

Content Usage Rights

The Ambassadorship retains ownership of all content created during this agreement, including photos, videos, and written materials. Planoly can also use the Ambassadorship's name and likeness in connection with promotions. The Ambassadorship agrees to keep Planoly's confidential information private and only use it for this Ambassadorship. The Ambassadors ensures that any third-party content used is properly licensed and agrees to handle any claims arising from it. If requested, the Ambassadorship will adjust or remove content not aligned with Planoly's values. Both parties agree to these terms, recognizing the importance of protecting their rights while collaborating effectively. For the duration of the partnership agreement, Planoly will have the right to to use the Talent’s monthly content within their organic social media posts, email marketing and on their platform: http://ambassador.planoly.com/. If Planoly would like to use any content within their paid social media advertising, then Planoly will need to reach out to the creator to discuss further compensation.

Exclusivity Period

During the term of this agreement, the Ambassadorship agrees not to enter into similar Ambassadorship, spokesperson, or promotional agreements with brands that directly compete with Planoly's products/services. This exclusivity ensures the Ambassadorship's undivided dedication to promoting Planoly for six (6) months with potential for renewal at the Planoly team’s discretion. Ambassador agrees to exclusively use their personalized Planoly link across all social bios for the duration of this partnership agreement. Ambassador will not undertake influencer marketing for a competitor in the same vertical as Planoly. Ambassador agrees to have content on social media for eight (8) months after the contract ends.

Termination and Breach

Either party can end this agreement within a two week written notice. If either party materially breaches this agreement and doesn't fix it within five days after notice, the other party can terminate. Certain terms, like intellectual property and confidentiality, continue even after termination. Both parties acknowledge their rights and obligations in the event of termination or breach of this agreement. This section ensures a clear understanding of the consequences and procedures to follow if either party decides to terminate the Ambassadorship or if a breach occurs.

Right to Independent Rights

You have the right to seek advice with regard to your contract, prior to accepting this offer. To provide you with a reasonable opportunity to obtain such advice, this offer will remain open for two weeks after application is approved. 

Compensation

• Ambassador will be paid through a reward system that increases over time
• Total Compensation per referral:some text
  • Give the first month free when someone signs up using your referral link. You will earn 30% of whatever they spend on the Planoly Pro Plan for the next year.

Entire Agreement:

This agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes all prior discussions, negotiations, and agreements, whether oral or written. No modification, amendment, or waiver of any provision of this agreement shall be effective unless in writing and signed by both parties. The failure of either party to enforce any rights or provisions under this agreement shall not be deemed a waiver of such rights or provisions. By signing below, both parties acknowledge that they have read and understood the terms of this agreement and agree to be bound by its contents.
